Terms of Service
The terms and conditions that govern your use of the Design With Usman website and our design services.
1. Acceptance of terms
By accessing designwithusman.com or engaging Design With Usman LLC for services, you agree to these Terms of Service. If you do not agree, please do not use the Site.
2. Our services
We provide brand identity, website design and development, UI/UX, packaging, print, marketing design and SEO services. The specific scope, deliverables, timeline and fees for each project are defined in a written proposal or statement of work ("Proposal") approved by both parties. If a Proposal conflicts with these Terms, the Proposal controls.
3. Quotes and payments
- Quotes are valid for 30 days from the date issued.
- Unless otherwise stated, projects require a 50% non-refundable deposit to begin, with the balance due on completion before final files are released.
- Invoices are payable within 14 days. Late balances may incur a 1.5% monthly fee.
- All prices are in US dollars and exclude third-party costs such as hosting, stock photography, fonts, plugins and printing unless stated.
4. Client responsibilities
You agree to provide accurate information, content and timely feedback, and to designate one decision-maker. Delays in feedback of more than 30 days may result in the project being paused and rescheduled.
5. Revisions and changes
Each Proposal includes a defined number of revision rounds. Additional revisions or changes in scope will be quoted separately and require your approval before work begins.
6. Intellectual property
Upon full payment, you receive ownership of the final approved deliverables. Preliminary concepts, unused designs, and our pre-existing tools, code libraries and know-how remain our property. Third-party assets (fonts, stock images, plugins) are licensed under their own terms. We may display completed work in our portfolio unless you request otherwise in writing.
7. Warranties and limitation of liability
We perform services in a professional manner consistent with industry standards. Except as expressly stated, the Site and services are provided "as is" without warranties of any kind. We do not guarantee specific business results, search rankings or advertising performance. To the maximum extent permitted by law, our total liability for any claim is limited to the amount you paid us for the services giving rise to the claim.
8. Website use
You agree not to misuse the Site, attempt to gain unauthorized access, upload malicious code or use the Site's content without permission. All content on the Site, including text, graphics and logos, is owned by or licensed to us.
9. Termination
Either party may terminate a project with written notice. You will pay for work completed to the date of termination, and the deposit is non-refundable. See our Refund Policy for details.
10. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida.
11. Changes
We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
